By accessing or using Onyx / Slate ("the Service"), operated by Onyx / Slate ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. We reserve the right to update these terms at any time, and your continued use of the Service constitutes acceptance of any changes.
Onyx / Slate is a software-as-a-service (SaaS) platform designed for event planning professionals. The Service provides event management tools including client portals, milestone tracking, vendor management, mood boards, invoicing, guest management, and messaging capabilities. The Service is provided on a subscription basis with various plan tiers.
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. You must be at least 18 years of age to use the Service.
The Service offers a 14-day free trial for new accounts. After the trial period, continued access requires a paid subscription. Subscriptions are billed monthly at the rate associated with your selected plan. All fees are non-refundable unless otherwise required by law. We reserve the right to change pricing with 30 days' notice. Payment is processed securely through Stripe. You authorize us to charge your designated payment method on a recurring basis.
You may cancel your subscription at any time through your account settings. Upon cancellation, your access will continue through the end of your current billing period. After cancellation, your data will be retained for 30 days, after which it may be permanently deleted. You may request data export prior to deletion.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: use the Service to transmit harmful, offensive, or illegal content; attempt to gain unauthorized access to any part of the Service; interfere with or disrupt the Service or its infrastructure; use the Service to send unsolicited communications; resell or redistribute the Service without our written consent; or use the Service in any manner that could damage, disable, or impair the Service.
The Service, including its design, features, and content, is owned by Onyx / Slate and is protected by intellectual property laws. You retain ownership of all data and content you upload to the Service. By using the Service, you grant us a limited license to host, store, and display your content solely for the purpose of providing the Service. We do not claim ownership of your content.
The Service includes client-facing portal functionality. You are responsible for the content shared through your client portals and for ensuring that your use of the portal complies with applicable laws. You are responsible for obtaining any necessary consents from your clients for the collection and use of their data through the Service.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Onyx / Slate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
You agree to indemnify and hold harmless Onyx / Slate, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and indemnification.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules.
